These Terms of Service govern the use of the nfdoffice.lol website and the office operations and bookkeeping services delivered by NFD OFFICE LLC, 837 E 1200 S, Orem - 84097-6603, United States (US). Please read them carefully. By using the website or engaging the desk, you agree to the terms set out below.

1. Agreement to These Terms

These terms form an agreement between you and NFD OFFICE LLC. By visiting this website, submitting an enquiry, or instructing the desk to perform work, you accept these terms. If you are accepting on behalf of a firm or another organisation, you confirm that you have authority to bind that organisation to these terms.

If you do not agree with any part of these terms, please do not use the website and do not engage the desk. Where a separate written engagement letter has been signed by both parties, that letter governs the specific engagement and these terms apply to the extent they are not inconsistent with it.

2. Who We Are

NFD OFFICE LLC is a professional office operations and bookkeeping practice in Orem, Utah. The firm keeps records and runs office workflows for small businesses across Utah County. The desk may be reached at the address above, by email at office@nfdoffice.lol, and by telephone on +17123454799.

The firm operates as the provider of the services described in these terms. References to we, us and the desk mean NFD OFFICE LLC. References to you and the client mean the person or firm that uses the website or engages the services.

3. The Services We Provide

The desk provides six core service lines: Bookkeeping in Triplicate, Correspondence and Filing, Records Retention, Form Design and Supply, Invoice Runs, and Month-End Closeups. Each service is described on the services page of this website, and the description on that page forms part of these terms.

The scope of any engagement is confirmed with the client before work begins. We provide the services with reasonable skill and care, in line with the standards of a professional clerical and bookkeeping office. We do not promise a particular financial outcome, because the outcome depends on the accuracy of the records the client supplies and on decisions the client makes.

4. Engagement and Client Instructions

An engagement begins when the client and the desk agree on the services to be performed and the terms of payment. Instructions may be given by a person the client has authorised in writing. We may ask for confirmation of authority before acting on an instruction that would move money or release a record.

The client is responsible for ensuring that the instructions it gives are accurate and timely. Where an instruction is unclear, we may pause the affected work and ask for clarification rather than guess. A pause of this kind is not a breach of these terms, and any deadline that depends on the missing clarification may be adjusted accordingly.

5. Fees and Payment

Fees are quoted before an engagement begins and are set out in the engagement letter. A fee may be based on the size of the monthly record set, on the number of invoice runs, or on a fixed monthly retainer, depending on what suits the client. We do not add charges that were not disclosed before the work was performed.

Invoices for our services are payable within the period stated on the invoice. Where an amount remains unpaid beyond that period, we may pause new work on the account after giving notice, and we may charge interest where the law allows. Pausing work does not release the client from the obligation to pay for services already delivered.

6. Client Responsibilities

The client agrees to provide complete and accurate records within the agreed time frames. This includes bank statements, purchase and sales documents, payroll notes and any correspondence the client wants the desk to handle. Late or incomplete records may delay a closeup, and the desk is not responsible for a delay caused by missing information.

The client also agrees not to use the services for an unlawful purpose, not to ask the desk to record information the client knows to be false, and not to withhold a document that is relevant to the work. We may decline an instruction that would require us to act improperly, and we will explain the reason for declining.

7. Records and Documents

Records delivered to the desk remain the property of the client. We hold them in trust, use them only for the engagement, and return or dispose of them under the retention schedule agreed with the client. A client may request the return of its records at any time, and we will provide them within a reasonable period.

We may retain copies where the law requires, where an engagement fee remains unpaid, or where a dispute is active. In those cases the retained copy is held securely and is released as soon as the reason for retention ends. Nothing in this section gives the desk ownership of a client record.

8. Bookkeeping in Triplicate

Bookkeeping in Triplicate is performed by writing each transaction once and pressing it through carbon into three copies: a white original for the client, a carbon sheet for the office register, and a pink counterfoil bound in the padded book. The three copies are intended to carry identical figures, and the desk checks them before a batch is closed.

The client acknowledges that the accuracy of the register depends on the records supplied to us. If a supplied record is later found to be wrong, the correction is pressed through the same book so that all three copies change together. The client may inspect the register during business hours on reasonable notice.

9. Correspondence and Filing

Under Correspondence and Filing, the desk opens, date-stamps and sorts mail, prepares short replies where the client has authorised it, and files each item against the correct client sheet. The client remains responsible for the substance of any reply that is sent in its name, and for decisions that go beyond routine clerical handling.

We will not sign a document on behalf of a client unless the engagement letter authorises it. Where a letter raises a legal, tax or financial question, we refer it back to the client rather than answer it ourselves. Filing follows an agreed structure so that any item can be found by name, date or counterparty.

10. Records Retention and Destruction

Records Retention is delivered by building a retention ledger that names each record class, states its holding period, and sets a destruction date. The ledger is agreed with the client and is used as the authority for keeping and destroying records. A class on the do-not-destroy list overrides the general schedule until the matter is closed.

Destruction is planned, listed and recorded. The client acknowledges that records destroyed in line with an agreed schedule are gone permanently, and that the desk cannot recover them. If a client wishes to keep a class longer than the schedule requires, it must tell the desk in writing before the destruction date.

11. Form Design and Supply

Form Design and Supply covers the design of printed forms, the setting of their ruling and column widths, and the supply of pads to the desk. The client reviews and approves each form before it is printed in quantity, and the approved version becomes the standard form for the engagement.

Where a form is designed to be struck in triplicate, the client acknowledges that paper weight and pen pressure affect the legibility of the carbon copy. We choose materials suited to the purpose, but we cannot guarantee a clean third copy if a client uses a form outside its intended specification.

12. Invoice Runs

An Invoice Run is produced on the billing date agreed with the client. The desk prepares each invoice, strikes the run through the padded book, sends originals to customers, files carbons in the office register, and leaves counterfoils bound as the running record of what was billed.

The client is responsible for confirming that the billing data supplied to the desk is complete and correct before the run is struck. Once a run has been produced, a correction is handled by issuing a credit or a replacement invoice rather than by altering a counterfoil, so that the book remains a truthful record of what happened.

13. Month-End Closeups

A Month-End Closeup reconciles the bank lines, the ledger and the carbon book until the three agree, and produces a signed trial sheet summarising the period. The trial sheet names any outstanding items and is prepared for the client to share with an accountant, a lender or a tax preparer.

The signed trial sheet reflects the records available at the time of preparation. If a client later supplies a missing document, the closeup may be revised and a new trial sheet issued. The desk is not liable for a decision a third party makes on the basis of a trial sheet that the client has since corrected.

14. Website Use

The website is provided for information and for contacting the desk. You agree to use it lawfully and not to interfere with its operation, attempt to gain unauthorised access, or submit anything harmful through the enquiry form. We may suspend access where we reasonably believe the site is being misused.

The enquiry form uses a mailto fallback to open your own email program. The desk is not responsible for the security of a message while it is in transit through a third party email service. Please do not send sensitive financial documents through the form; arrange a secure method with the desk first.

15. Intellectual Property

The content of this website, including its text, layout and design, belongs to NFD OFFICE LLC unless stated otherwise. You may view and print pages for your own reference, but you may not copy, republish or redistribute the content for commercial purposes without written permission.

Forms and stationery designed for a client under Form Design and Supply are prepared for that client use. Ownership of a bespoke form design is set out in the engagement letter. Where no term is stated, the client may use the form for its own business and the desk retains the right to reuse generic ruling patterns.

16. Confidentiality

The desk treats client information as confidential. We do not disclose it to a third party except where the client instructs us, where the law requires, or where a service provider needs it to deliver the service. The people who work for the desk are bound to keep client information private.

Confidentiality continues after an engagement ends. Where a client wants the desk to share a closeup with an adviser, the client confirms that the adviser is entitled to receive it. The desk may confirm the identity of a recipient before releasing a record, even where the client has given a general instruction.

17. No Professional Advice

The desk provides bookkeeping, filing, retention and clerical services. It does not provide legal, tax or investment advice, and nothing on this website should be read as such advice. Where a matter requires a licensed professional, the client should engage one.

We are glad to prepare records in a form that an accountant or a tax preparer can use, and we will share the register and the trial sheet with a professional the client names. The professional opinion itself remains the responsibility of that professional and of the client.

18. Limitation of Liability

To the extent the law allows, the desk is not liable for indirect, incidental or consequential loss arising from the services or the website. Our total liability for a claim connected with an engagement is limited to the fees paid for the service that gave rise to the claim.

Nothing in these terms limits liability that cannot lawfully be limited, such as liability for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, and where that is the case the exclusions above apply only to the extent the law permits.

19. Indemnification

You agree to indemnify the desk against a claim that arises from your misuse of the website, from an unlawful instruction, or from records you supplied that you did not have the right to share. This obligation applies only to the extent the claim is caused by your conduct.

Where a claim is made against the desk and the client is partly responsible, the parties will work in good faith to apportion responsibility in proportion to their respective faults. The desk will give prompt notice of a claim and will not settle it in a way that harms the client without informing the client first.

20. Termination

Either party may end an engagement by giving written notice. Where notice is given, the desk finishes work already in progress, returns client records, and issues a final invoice for services delivered. Records that must be kept by law are held under the retention schedule until their period ends.

We may end an engagement immediately if a client asks us to act unlawfully, if a fee remains unpaid after notice, or if continuing would require us to breach a legal or professional duty. On termination, the confidentiality and liability sections of these terms continue to apply.

21. Dispute Resolution and Governing Law

If a dispute arises, the parties will first try to resolve it by discussion in good faith. If discussion does not settle the matter, the parties may agree to mediation before starting any legal proceeding. This step is intended to keep small disagreements from becoming expensive ones.

These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. The courts located in Utah have jurisdiction over a dispute that is not otherwise resolved, and each party consents to that jurisdiction.

22. Changes to These Terms

We may update these terms from time to time to reflect changes in our practice or in the law. The date at the top of the page shows when the current version took effect. A material change will be made clear on this page, and where we hold contact details we will notify affected clients.

Your continued use of the website or services after an update means that the current version applies. If a change is not acceptable to you, you may end the engagement in line with the termination section above.
